Prise de participation minoritaire indirecte d'Altice dans NextRadioTV

 

Le groupe NextRadioTV annonce qu'il a reçu confirmation de l'Autorité de la Concurrence que la prise de participation minoritaire indirecte du groupe Altice, annoncée le 27 juillet dernier n'était pas constitutive d'un changement de contrôle et, de l'autorité de régulation  (Conseil supérieur de l'audiovisuel) qu'il ne s'agissait pas d'une modification substantielle au sens de la loi audiovisuelle. Le groupe NextRadioTV a par ailleurs obtenu l'avis de son Comité d'entreprise.

L'offre publique d'achat volontaire sur l'ensemble des titres du groupe NextRadioTV devrait être déposée par une société nouvellement créée (Groupe News Participations) auprès de l'Autorité des marchés financiers d'ici la fin de l'année 2015.

A l'issue de cette première étape, Alain Weill conservera le contrôle exclusif de NextRadioTV avec 51% du capital et des droits de vote de Groupe News Participations, dont il assurera la présidence.

Acquisition by Altice of an indirect minority stake in NextRadioTV

 

 

NEXTRADIOTV Group announces that it has received confirmation from the antitrust authority (Autorité de la Concurrence) that the acquisition by Altice of an indirect minority stake in NextRadioTV, announced on 27 July 2015 did not constitute a change of control and from the regulatory authority (Conseil supérieur de l'audiovisuel), that it did not characterize a substantial change within the meaning of the audiovisual regulations.   NEXTRADIOTV has also received the opinion from its works' council.

 

The filing of the tender offer with the Autorité des Marchés Financiers ("AMF") by a joint-company (Groupe News Participations) is expected by the end of 2015.

 

At the end of this first step, Alain Weill will keep the exclusive control of NextRadioTV with 51% of economic and voting rights of Groupe News Participations in which he will assume the role of Executive Chairman.
