1. Mr. von Bretten's separation as an employee occurred on March 31, 2024. Mr. von Bretten was appointed as a director of Coty Inc. on April 1, 2024.
2. The transaction on March 31, 2024 represents the pro rata vesting of 193,574 restricted stock awards in connection with Mr. von Bretten's separation as an employee on March 31, 2024. In connection with such vesting, 91,464 shares were surrendered to the Issuer to satisfy the income tax withholding and remittance obligations of Mr. von Bretten at a net settlement price equal to the closing price of Coty Inc. Class A Common Stock on the New York Stock Exchange on the trading day prior to the vesting date and does not represent a sale by Mr. von Bretten. In connection with the separation, Mr. von Bretten forfeited 529,018 restricted stock awards.
3. The transaction on April 1, 2024 represents restricted stock units granted to Mr. von Bretten in connection with service as a Director beginning on April 1, 2024. Upon vesting, each restricted stock unit will settle for one share of Coty Inc. Class A common stock. Each restricted stock unit vests on April 1, 2029, subject to certain vesting conditions and exceptions.
