EXPLANATORY NOTE The purpose of this Registration Statement is to register 41,000,000 additional shares of common stock, par value $1.00 per share ("Common Stock"), of Caterpillar Inc. (the "Registrant") that may be offered for sale to participants in the Caterpillar 401(k) Savings Plan (the "Plan"). On August 10, 2017, the Registrant filed a registration statement on Form S-8 (File No. 333-219861) with the Securities and Exchange Commission (the "SEC") in order to register shares of its Common Stock and interests issuable under the Plan.
